1. Introduction

Welcome to BabalCloud. These Terms of Service (“Terms”) govern your access to and use of our website, products, and services (“Services”). By accessing or using our Services, you agree to be bound by these Terms.

2. Definitions

In these Terms:

• “Account” means a unique account created for you to access our Services.
• “Company”, “We”, “Us”, or “Our” refers to BabalCloud.
• “Content” refers to any text, information, images, or other material that you post, upload, or otherwise share on the platform.
• “User”, “You”, or “Your” refers to the individual accessing or using the Services.

3. Account Registration

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Services.

You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Service Usage and Limitations

Our Services are provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.

We reserve the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

5. User Conduct

You agree not to use the Services to:

• Violate any applicable laws or regulations.
• Infringe upon or violate our intellectual property rights or the intellectual property rights of others.
• Transmit or upload any material that contains viruses, trojan horses, worms, or any other harmful or destructive programs.
• Attempt to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services.
• Interfere with or disrupt the Services or servers or networks connected to the Services.
• Collect or track the personal information of others.
• Harass, abuse, or harm another person.

6. Payment Terms

Some of our Services are offered on a subscription basis. You agree to pay all fees or charges to your account based on the fee, charges, and billing terms in effect at the time a fee or charge is due and payable.

If you dispute any charges you must let us know within sixty (60) days after the date that we invoice you. We reserve the right to change our prices. If we do change prices, we will provide notice of the change on the Site or in email to you.

7. Intellectual Property

The Services and their original content, features, and functionality are and will remain the exclusive property of BabalCloud and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of BabalCloud.

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

9. Limitation of Liability

In no event shall BabalCloud, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Nepal, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.
